Terms of Service

Effective date: October 27, 2026

1. These Terms

These Terms of Service (the “Terms”) govern access to and use of velosync.io (the “Site”), operated by VeloSync, Inc. (“VeloSync”, “we”, “us”, “our”), a Delaware corporation operating from 3443 S. State Street, Suite 17, Salt Lake City, UT 84115, USA. By accessing or using the Site, you agree to these Terms on behalf of yourself and, where applicable, the business you represent.

2. Relationship to service agreements

The Site describes VeloSync’s payment facilitation infrastructure, payment and settlement services, and enterprise landing services (together, the “Services”). Site content is a summary provided for information only. The Services are provided exclusively under separate written agreements — including merchant agreements, program agreements, and partner agreements — together with the rules of our banking partners and the card networks. In the event of any conflict between the Site or these Terms and a written service agreement, the written service agreement controls. Nothing on the Site is an offer to provide the Services to any person.

3. Business use and eligibility

The Site and the Services are offered to businesses and their authorized representatives, and not to consumers for personal, family, or household use. By inquiring about or applying for the Services, you represent that you act on behalf of a business and are authorized to bind it.

Access to payment services is subject to application, underwriting, verification, and approval in our discretion and that of our banking partners, and to continuing compliance with applicable law, card network rules, and our program requirements. VeloSync operates an invite-only merchant program. We may decline an application, or suspend or discontinue Services, in accordance with the applicable written agreement, network rules, and applicable law.

4. Inquiries and information you provide

Information submitted through the Site’s forms or by email must be accurate, current, and complete, and must relate to a legitimate business inquiry. Submitting an inquiry does not create an account, a customer relationship, or an obligation for VeloSync to provide any Service. You are responsible for obtaining any authorizations needed from individuals whose personal information you submit to us (for example, owners and officers identified during onboarding), and for the lawful collection and transmission of that information to us. Our handling of personal information is described in our Privacy Policy.

5. Fees and commercial terms

Fees, settlement terms, reserve and rolling-reserve arrangements (if any), and other commercial terms are set out only in written service agreements. Pricing descriptions on the Site, including any description of pricing models, are indicative summaries and are not binding quotations.

6. Data protection and payment card data

Each party will comply with applicable data protection law in connection with the Site and the Services. Where VeloSync processes personal information on behalf of a business customer, it does so under that customer’s instructions and the applicable written agreement.

Payment card data is processed through PCI DSS compliant processors. Raw card numbers are not stored on VeloSync systems. Business customers are responsible for their own PCI DSS compliance obligations for the channels and systems under their control, and for safeguarding any credentials, API keys, and access devices we issue to them.

7. QuantumPay and licensing status

QuantumPay is a subsidiary of VeloSync, Inc. Statements on the Site about licensing status are factual statements as of the date made. QuantumPay’s own money transmitter registrations and state license applications are in progress. Services that require money-transmitter or similar licensing are delivered, in the interim, through appropriately licensed partners. Statements about future offerings — including insurance-related (InsurTech) offerings and any digital managing general agent (MGA) concept — describe plans and development direction only. They are not launched products, are not offers, and their availability will depend on obtaining the required licensing and approvals.

8. Intellectual property

The Site, including its design, text, graphics, software, and the VeloSync name and logo, is the property of VeloSync or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Site for the purpose of evaluating and using the Services for your business. You may not copy, modify, distribute, or create derivative works from Site content, or use VeloSync’s marks, except as permitted by law or with our prior written consent.

Names and logos of ecosystem partners and other third parties shown on the Site belong to their respective owners. Their display indicates ecosystem participation only and does not constitute endorsement by, or of, VeloSync.

If you provide feedback or suggestions about the Site or the Services, you grant us a royalty-free, irrevocable right to use that feedback for any purpose without obligation to you.

9. Confidentiality

Non-public information disclosed by either party in connection with the Services — including commercial terms, technical documentation, and security information — is confidential. Each party will use the other’s confidential information only to perform under, and benefit from, the applicable agreements, will protect it with at least reasonable care, and will disclose it only to its personnel and advisers with a need to know, or as required by law or legal process (with prior notice to the other party where legally permitted).

10. Acceptable use

You agree not to:

- use the Site or the Services for any unlawful purpose, or in connection with any business or activity prohibited under our program requirements, card network rules, or applicable law; - submit false, misleading, or third-party information without authorization; - attempt to gain unauthorized access to the Site, the Services, or related systems, or to probe, scan, or test their vulnerability except as expressly authorized by us in writing; - interfere with or disrupt the Site or the Services, or introduce malicious code; - use the Site to transmit unsolicited commercial communications; or - represent yourself as affiliated with, or endorsed by, VeloSync without our written consent.

11. Third-party services and links

The Site may link to, or describe, services provided by third parties, including Financial Partners and ecosystem partners. We do not control third-party services and are not responsible for their content, terms, or privacy practices. Your use of a third-party service is governed by that third party’s terms.

12. Disclaimers

The Site is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that Site content is complete or current. Service-specific warranties, if any, are set out in the applicable written agreement.

13. Limitation of liability

To the maximum extent permitted by applicable law: (a) neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, or data, arising from or relating to the Site or these Terms; and (b) VeloSync’s aggregate liability arising from or relating to the Site and these Terms will not exceed USD 10,000. Liability under a written service agreement is governed by that agreement, not by this Section. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

14. Indemnification

You will indemnify and hold harmless VeloSync and its officers, directors, employees, and agents against claims, damages, liabilities, and reasonable expenses (including legal fees) arising from your use of the Site, your breach of these Terms, or information you submit to us. VeloSync will give you reasonable notice of a claim covered by this Section and cooperate at your expense; you may control the defence, provided no settlement imposes obligations on VeloSync (other than payment of money you fund) without our consent.

15. Suspension and termination of Site access

We may suspend or terminate access to the Site at any time, including for breach of these Terms or where required by law. Sections 6, 8, 9, 12, 13, 14, 16, 17, and 19 survive termination of Site access. Termination or continuation of Services is governed by the applicable written agreement.

16. Governing law and venue

These Terms are governed by the laws of the State of Utah, USA, without regard to its conflict-of-law rules. Subject to Section 17, the state and federal courts located in Salt Lake County, Utah have exclusive jurisdiction over disputes arising from or relating to the Site or these Terms, and the parties consent to personal jurisdiction there.

17. Arbitration and class action waiver

Agreement to arbitrate. Except as provided below, any dispute, claim, or controversy arising from or relating to the Site or these Terms will be resolved exclusively by binding arbitration, rather than in court. The U.S. Federal Arbitration Act governs the interpretation and enforcement of this Section.

Procedure. The arbitration will be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. There will be a single arbitrator, selected in accordance with those rules. The seat of arbitration is Salt Lake County, Utah, and the language of the arbitration is English. The arbitrator’s award is final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class action and jury waiver. Disputes will be arbitrated only on an individual basis. Neither party may bring or participate in a class, consolidated, collective, or representative action or arbitration, and the arbitrator may not consolidate the claims of more than one person or preside over any form of class or representative proceeding. Each party waives any right to a jury trial.

Exceptions. Either party may (a) bring an individual claim in a small claims court of competent jurisdiction in Salt Lake County, Utah; (b) seek injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened harm pending arbitration; and (c) enforce or challenge an arbitration award in the courts identified in Section 16.

Opt-out. You may opt out of this Section by sending written notice to the address in Section 20 within 30 days of first accepting these Terms. If you opt out, or if this Section is found unenforceable as to a claim, that claim will be resolved in the courts identified in Section 16.

18. Changes to these Terms

We may update these Terms from time to time. The current version will be posted on this page with its effective date. Continued use of the Site after an update takes effect constitutes acceptance of the updated Terms.

19. General provisions

These Terms constitute the entire agreement between the parties regarding use of the Site and supersede prior understandings on that subject. If any provision is held unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue in full effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a sale of our business or assets. Notices under these Terms may be given by email or through the Site; notices to VeloSync must be sent to the address in Section 20.
